Terms of Service

Overview

These Terms of Service ("Terms") govern your access to and use of FileMorf (the "Service"), operated by FileMorf ("we", "our", or "us"). By using the Service, you agree to be bound by these Terms.

The short version: Use the Service responsibly. Don't abuse it or use it for illegal purposes. We provide it "as is" with reasonable efforts to maintain uptime and security.

1. Acceptance of Terms

By accessing or using FileMorf, you agree to these Terms and our Privacy Policy. If you don't agree, please don't use the Service. We may update these Terms from time to time, and continued use constitutes acceptance of the updated Terms.

2. Description of Service

FileMorf provides:

  • File format conversion (images, PDFs, documents)
  • PDF editing, merging, splitting, and page extraction
  • OCR text extraction (Pro feature)
  • Image upscaling (AI-powered)
  • Batch file processing

Most conversions are processed locally in your browser. Some features require server-side processing, particularly for Pro users.

3. Account Registration

You may use basic features without an account. To access Pro features, you must create an account by providing:

  • A valid email address
  • A secure password (or use Google/GitHub authentication)

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

You must be at least 13 years old to create an account. By creating an account, you represent that you meet this requirement.

4. Free and Paid Plans

4.1 Free Tier

  • 25 conversions per day (resets at midnight UTC)
  • 100MB maximum file size
  • Client-side processing only
  • No account required

4.2 Pro Plan ($9/month)

  • Unlimited conversions
  • 2GB maximum file size
  • Server-side processing for large files
  • OCR text extraction
  • Batch processing (up to 50 files)
  • API access (1,000 calls/month)
  • Conversion history
  • Priority support

4.3 Team Plan ($29/month)

  • Everything in Pro
  • 5 team seats
  • 5GB maximum file size
  • Batch processing (up to 200 files)
  • API access (10,000 calls/month)
  • Shared presets
  • Dedicated support

5. Billing and Subscriptions

5.1 Payment

Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

5.2 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access to paid features until the end of your billing period
  • No refunds are provided for partial months
  • Your account reverts to the free tier after the billing period ends

5.3 Refunds

We offer a 14-day money-back guarantee for new subscriptions. To request a refund, contact [email protected] within 14 days of your initial subscription.

5.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing cycle.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to violate any laws
  • Upload, convert, or process files containing:
    • Child sexual abuse material (CSAM)
    • Content that violates others' intellectual property rights
    • Malware, viruses, or malicious code
    • Content that promotes violence, hatred, or discrimination
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Circumvent usage limits, rate limiting, or access controls
  • Use automated tools to scrape or access the Service beyond API limits
  • Resell access to the Service without written permission
  • Use the Service in a way that could harm minors

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

7. Intellectual Property

7.1 Your Content

You retain all rights to files you upload or convert. By using the Service, you grant us a limited license to process your files solely for the purpose of providing the Service.

You represent that you have the right to upload and convert all files you submit, and that doing so does not violate any third party's intellectual property rights.

7.2 Our Content

The Service, including its design, code, features, and documentation, is owned by FileMorf and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission.

8. API Usage

If you use our API (Pro and Team plans):

  • You must comply with rate limits and usage quotas for your plan
  • API keys are confidential and must not be shared or exposed publicly
  • We may revoke API access for violations of these Terms
  • You must not use the API to build a competing service

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Conversions will be perfect or lossless in all cases
  • The Service will meet your specific requirements
  • Files processed will be preserved indefinitely

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILEMORF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or files
  • Loss of profits or revenue
  • Business interruption
  • Damage to reputation

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless FileMorf and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Content you upload or convert using the Service

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account data (subject to our Privacy Policy)
  • No refunds are provided for unused subscription time

You may terminate your account at any time through your account settings or by contacting support.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

14. Dispute Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

For claims under $10,000, you may choose to resolve through binding arbitration under the rules of the American Arbitration Association.

15. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes that affect paying customers.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FileMorf regarding the Service and supersede any prior agreements.
